We have not selected any specific business target and we have not, nor has anyone on our behalf, initiated any substantive discussions, directly or indirectly, with any business combination target.

We have experienced a number of regulatory delays, and we and TMTG may continue to experience additional delays in the future, these delays could cause us to be unable to consummate the business combination.

While we are using our best efforts to complete the business combination as soon as practicable, our board of directors believes there will not be sufficient time before the termination date.
